Terms of Service

Effective: 27 October 2026

These terms govern your use of Maxiful. Plain language, no surprises.

These terms are between Maxiful AB (company number 559606-5135) ("we", "us", "our") and you, the subscriber ("you", "your").

The service

Maxiful is a team of AI agents that is installed on your computer and provisioned by us. You work with your agents in the Maxiful app on your computer and, if you choose, from the Maxiful app on your iPhone or through the messaging apps Maxiful supports.

When we say we "install, configure and maintain" the agent, we mean that we provide the installer and setup wizard that you run on your computer, provision the agent runtime and its configuration, supply software updates, and provide support. Your agents run on your own hardware under your control. We do not operate your computer, monitor your agents' activity, or review the actions or outputs of your agents.

Service availability

We aim to provide reliable service but do not guarantee uninterrupted availability. Your agent runs locally on your hardware. If our cloud infrastructure experiences downtime, your agent continues to operate with its existing configuration and cached data, although features that depend on our cloud (including cloud AI reasoning and account management) may be unavailable until service is restored.

We may perform maintenance, updates or modifications to the service. We will provide reasonable notice for planned maintenance that may affect service availability.

We are not liable for interruptions caused by factors outside our control, including internet outages, hardware failures on your device, or third-party service disruptions (for example, Telegram or a cloud AI provider).

Subscriptions and pricing

Maxiful is a subscription service, paid monthly or yearly. Prices are displayed in EUR, SEK, USD or GBP depending on your location, and are shown inclusive or exclusive of applicable taxes as indicated at checkout.

Each subscription is for one workspace and is priced per workspace, not per user or seat: the price does not change with the number of colleagues you invite. Everyone in the workspace shares its monthly AI allowance.

From time to time we may offer promotional or introductory pricing. Any such offer applies on the terms stated with it, applies once per account unless we say otherwise, and cannot be combined with other offers.

We may adjust pricing for future billing periods with at least 30 days' written notice. Price changes do not apply to your current billing period. If you do not agree with a price change, you may cancel before it takes effect.

Payment

Payments are processed by Stripe, including payment by invoice where we have agreed it with you. Your subscription renews automatically at the end of each billing period: each month on a monthly plan, each year on a yearly plan. You can cancel at any time from your account settings or by emailing [email protected]. We will process your cancellation promptly.

Your service begins immediately when you subscribe. You expressly request that we begin providing the service right away, and for the downloadable software (digital content) you acknowledge that you lose your 14-day statutory right of withdrawal once its supply begins. If you withdraw from the ongoing service within the 14-day period, you will be charged a proportionate amount for the service already supplied up to that point; after that period, subscription fees are non-refundable, except where a refund is required by law, including your statutory remedies if the service or digital content is faulty. You can cancel at any time, effective at the end of your current billing period. This does not affect your mandatory statutory rights as a consumer.

Cancellation

Cancellation takes effect at the end of your current billing period. After cancellation:

  • Your agent stops receiving our cloud services (including cloud AI reasoning) and is deprovisioned from our infrastructure.
  • Account records held on our infrastructure are deleted on the schedule set out in our Privacy Policy.
  • The software and data on your computer (conversations, files, agent memory) remain yours. We claim no ownership of them and keep no copy of them on our servers. The agent runtime and its background components remain installed until you remove them (see "Installation and changes to your computer").
  • Billing records are retained as required by the Swedish Bookkeeping Act, bokföringslagen (7 years).

Account termination by us

We may suspend or terminate your account immediately if you:

  • violate the Acceptable use section;
  • use the service to harm others, engage in illegal activity, or attempt to reverse-engineer or tamper with our systems;
  • fail to pay your subscription fees after reasonable notice; or
  • create multiple accounts to abuse promotional offers or usage limits.

If we terminate your account, we will provide your account data in a reasonable format on request, subject to our data retention policy. If we terminate for convenience or because we withdraw the service, we will refund prepaid fees for unused periods on a pro-rata basis. If we terminate for your material breach (including acceptable-use violations or illegal activity), no refund is due except where required by law.

Eligibility and authority

You must be at least 18 years old and legally capable of entering into a binding contract to subscribe to the service.

If you subscribe on behalf of a company or other organisation, you confirm that you are authorised to bind it to these terms, and "you" includes that organisation.

You must not allow a minor to operate an agent, and in particular must not allow a minor to operate an agent connected to messaging, email, payment or other accounts.

Installation and changes to your computer

Maxiful's setup runs under your own user account and does not need administrator rights: on Windows the app is installed for your user only, and on both systems Maxiful's runtime, settings and data are kept in your user folder. On Windows, Windows' own consent prompt may ask for an administrator's yes when Maxiful is installed or updated, to add Maxiful's working folders to Microsoft Defender's exclusions; if it is declined, setup carries on. On macOS, the system may ask for an administrator's password when you copy the app into the Applications folder, as it does for any app. Setup makes real changes to your computer. By running the installer and completing setup, you authorise us to make the following changes on the computer you install on:

  • install supporting software in your user folder, including a Node.js runtime obtained from nodejs.org (used under its own licence, which may interact with any existing Node.js installation) and related components the agent needs to run;
  • create configuration and data folders in your user folder to hold the agent, its settings and its state;
  • register background components that run and update the agent (on macOS, launch agents; on Windows, scheduled tasks, a startup entry and a background gateway process), and schedule automatic checks for updates so that security and functionality updates can be delivered;
  • store credentials and secrets needed to run the service in protected files on your computer, and register a maxiful:// link handler;
  • on Windows, if the consent prompt is accepted, add Maxiful's working folders to Microsoft Defender's exclusions, which the Windows uninstaller removes again;
  • on Windows, if you choose to enable it, turn on Windows Developer Mode. This is a machine-wide setting that affects all users of the computer and remains on until you disable it in Windows Settings.

These background components continue to run until the service is removed. Uninstalling the application by moving it to the Trash or using the Windows uninstaller may not remove all of these components, folders, credentials or system-wide changes. To remove them, use the removal tool or instructions we provide. Automatic updates may change the installed software; we will give notice of material changes as described in "Changes to these terms".

Installers

Our macOS app is signed with an Apple Developer ID issued to PolyTrader Ltd and notarized by Apple, and our Windows installer is code-signed with a Certum certificate issued to PolyTrader Ltd, the company that published Maxiful before Maxiful AB. Download the installer only from our official website and follow any verification steps we publish. We are not responsible for software obtained from any other source.

Your agents: actions, permissions and your responsibility

Your agents operate with real permissions on your computer and can act without asking you first, within the permissions, accounts and instructions you have given them. Depending on how you configure them, they can execute commands and code, create, modify and delete files, send messages and emails from your connected accounts, and schedule their own tasks.

Actions your agents take within the access you granted are treated as your actions. Messages and emails sent through your connected accounts are treated as sent by you.

You are responsible for configuring permissions appropriately, for supervising agents performing consequential tasks, and for reviewing outbound communications and irreversible actions where the consequences of an error would be significant. You must not instruct or permit an agent to do anything you could not lawfully do yourself. These responsibilities apply to every agent in your team, including tasks the orchestrator delegates to specialists.

Permission settings and sandboxing are configuration directives that we enforce through operating-system controls where those are available; they are not a guarantee that an action is technically impossible. If you choose to run agents without the sandbox (for example, by confirming an option to continue without it), you expressly instruct us to run your agents with your full user privileges and you accept responsibility for their actions within that scope, to the maximum extent permitted by law.

Your data, backups and data loss

Because your agents can run code and create, modify and delete files, their actions can change or delete data on your computer. You must keep regular, independent backups of any data you cannot afford to lose. The service is not a backup tool.

We will provide the service with reasonable care and skill. Subject to that, and to the maximum extent permitted by law and to the Limitation of liability section (including its non-excludable carve-outs), we are not responsible for loss or corruption of data or system configuration that results from instructions you gave your agent, access you granted, third-party artifacts you installed, changes you made to the installation, or your failure to keep adequate backups.

The agent runtime stores its configuration and state in files on your computer. Please do not manually edit those files, remove or disable the background components the installer registers, block the update mechanism, or change agent safety and permission settings outside the app's own settings. We are not responsible for malfunction, data loss, security exposure or third-party harm resulting from changes to the installation that we did not make or approve, and we may ask you to reinstall before we can provide support.

Connected accounts and credentials

You choose which external accounts and tools to connect (for example, Google or Telegram) and which permission scopes to grant. Grant only the access your use case needs.

You confirm that you are entitled to connect each account and to authorise agent access to it, including under any employer or organisational policy that applies to that account. You are responsible for keeping credentials secure, for all agent activity carried out through your connected accounts, and for complying with the terms of service of each connected provider.

Disconnecting an account or revoking access stops future agent access; it does not undo actions already taken. Credentials are stored locally on your computer in files protected by operating-system file permissions, so protect access to your computer accordingly.

Marketplace and third-party artifacts

The marketplace lets you obtain agents, skills and other add-ons ("Artifacts"). Some Artifacts are provided by us; others are published by third parties ("Publishers"). We distribute Publishers' Artifacts, and for every paid Marketplace sale we are the seller of record: you pay us, and we are responsible for the VAT on the sale.

Third-party Artifacts are supplied by their Publisher and may be governed by the Publisher's own terms. Before we list an Artifact, we review it for safety and against our rules, but we do not endorse or guarantee third-party Artifacts, and installing one is your decision. A third-party Artifact runs on your computer under your control, with the permissions you grant it.

When you buy an Artifact, you receive a licence to use it while your Maxiful plan is active; you do not acquire ownership of it. As with subscriptions, delivery is immediate: you expressly request immediate supply and acknowledge that you lose the 14-day right of withdrawal for that digital content once its supply begins, without prejudice to your non-excludable statutory rights if the digital content is faulty. To the maximum extent permitted by law, our liability for a third-party Artifact is limited to a refund of the amount you paid for it, and this does not limit your statutory rights in respect of digital content.

We may suspend or remove an Artifact from the marketplace. If we remove a paid Artifact you hold, we will refund the amount you paid for it on a pro-rata basis where appropriate. If you publish Artifacts, additional publisher terms apply.

Read the Publisher Terms

No professional advice

The service, including any agent or Artifact, whatever it is named or described as doing, for example agents described as performing tax preparation, contract review or bookkeeping, provides automated, informational output only. It is not legal, tax, accounting, financial, investment, medical or other professional advice, and no professional–client relationship is created.

Outputs may be wrong. Before you act on any output that has legal, tax, financial or other significant consequences, including filing any return, signing or rejecting any contract, or submitting any regulatory document, you must have it reviewed by a suitably qualified professional. You are responsible for reviewing and verifying any work product generated by your agent before relying on it.

To the maximum extent permitted by law, and without limiting your statutory rights as a consumer, we are not liable for losses arising from reliance on outputs as professional advice.

Remote support

We may offer optional remote support sessions to help diagnose or fix problems. Remote access happens only with your explicit consent, per session, over an encrypted connection, and you may end a session at any time.

During a session our staff may view your screen and the agent's configuration and log files, which may contain personal data. Please avoid exposing unrelated confidential material during a session. We will exercise reasonable care and skill during support sessions, and changes made at your request or with your approval during a session are treated as authorised by you.

Third-party services and AI models

The service depends on third-party platforms and providers, including messaging platforms such as Telegram, Google services, payment processing by Stripe, and third-party AI model providers accessed through our model proxy. Your use of those platforms is governed by their own terms.

Third parties may change, limit or withdraw their services or APIs. Where that affects a feature, we will make reasonable efforts to provide an alternative but may modify or discontinue the affected feature; the cancellation right for a material reduction in the "Service tiers and fair use" section applies. We may change the AI models used to provide the service, including substituting models of comparable capability.

The apps you connect under More work apps are reached through Composio, our connection partner, which keeps the sign-ins of those apps and runs the app actions your assistants take in them. Composio processes that data on our behalf, in the United States, as a sub-processor named in our Privacy Policy; your use of each app stays governed by that app's own terms.

Acceptable use

When using Maxiful, you agree not to:

  • use the service for any illegal activity, or to harm, harass, defraud or exploit others;
  • send unsolicited bulk or commercial messages (spam), or any electronic marketing that does not comply with the laws of the recipient's jurisdiction (including UK PECR, the GDPR and national ePrivacy laws, Germany's UWG, the US CAN-SPAM Act and Canada's CASL). You are solely responsible for having a lawful basis and any required consent for every message your agents send, for honouring opt-outs, and for accurate sender identification;
  • attempt to circumvent safety systems or security controls, or reverse-engineer, decompile or extract the agent software or modify the installation to bypass usage, entitlement or safety controls;
  • resell, sublicense or share your agent access with third parties;
  • use the service to process other people's personal data unlawfully. Where your agents process other people's personal data (for example, contacts, correspondents or clients), you act as the data controller for that processing on your hardware, and you must have a lawful basis for it.
  • use the service where you are a sanctioned or restricted person, or located in a country or territory subject to comprehensive UK, EU or US sanctions, or in breach of applicable export-control or sanctions laws.

Where your agents communicate with other people, you are responsible for complying with any law that requires you to disclose that they are interacting with an AI system (including, where applicable, Article 50 of the EU AI Act). You act as the deployer of your agents; we provide the underlying software. We may suspend or terminate accounts that violate this section, and may do so immediately and, where required to comply with sanctions or export-control law, without a refund.

Intellectual property

The Maxiful agent infrastructure, our own skills, and the underlying software are our intellectual property. Third-party Artifacts remain the intellectual property of their respective Publishers; we claim no ownership of them.

Your data is yours. We claim no ownership over any content you create, store or process with your agent. When you cancel, your data stays on your computer.

Multi-agent teams

Every subscription includes a team of AI agents: one orchestrator and a team of specialists, with the option to add further specialist agents on any plan. The orchestrator receives your instructions and delegates tasks to specialists.

All agents run exclusively on your hardware. No agent processing occurs on our servers.

The orchestrator has visibility into all specialist workspaces for coordination purposes. Specialists operate within their configured scope. If multiple agents access your Google Workspace data, they share the same OAuth connection. This is disclosed and confirmed during onboarding.

Inter-agent communication occurs via a local task queue on your hardware. When an agent's work requires cloud AI reasoning, the prompt for that request, which may include task briefs or outputs shared between agents, is routed through our model proxy like any other model call; we do not store its content.

Service tiers and fair use

Each subscription tier determines the AI allowance and the support level available to you. AI reasoning capacity is included in your subscription. The allowance is shared by everyone in your workspace.

We will notify you at 80% and 90% of your monthly allowance. When you reach 100%, your agent continues to work but may switch to lighter-weight models for complex tasks. We do not hard-cut your service.

We may adjust service features between tiers with at least 30 days' notice. If a change materially reduces your current tier's capabilities, you may cancel without penalty before the change takes effect.

  • Automated abuse, using scripts or bots to generate artificial API traffic, is prohibited.
  • Reselling or sharing agent access with third parties for commercial purposes is prohibited.
  • Attempting to bypass, manipulate or reset usage counters is prohibited.
  • Deliberately abusing the service to consume excessive resources without a legitimate purpose is prohibited.

Unused allowance does not roll over. Maxiful does not currently charge for usage above your monthly allowance. If overage billing is introduced in the future, it will be opt-in only.

Data handling

We handle your personal data as described in our Privacy Policy. By using the service, you acknowledge that you have read and understood the Privacy Policy.

For personal data that your agent processes locally on your computer, you are the data controller. We do not determine the purposes or means of that local processing and act neither as controller nor as processor for it. You are responsible for having a lawful basis for any third-party personal data you provide to, or allow your agent to access or transmit, including in requests routed to cloud AI providers.

Multi-agent data handling

The data-handling principles in these terms apply equally to every agent in your team, on every plan. Your files, your agents' memory and the credentials for the tools you connect stay on your own hardware, except the sign-ins of the apps you connect under More work apps, which our connection partner holds for us in the United States (see "Third-party services and AI models"). The prompt for each AI call travels to the model provider through the Maxiful model proxy, by default under no-training terms, unless the workspace owner allows providers that may train, which Maxiful holds off once a Google account has been connected; an agent on one of your own subscriptions (ChatGPT or Codex, Grok, or Claude) sends its prompts to that provider under your own account and its terms instead, and a model on your own hardware keeps them there. The transparency page itemises every case in which anything else leaves your machine.

Each specialist agent works in its own workspace directory, and the orchestrator reaches all of them for coordination. All agents run in one background process on your computer. By default, each agent's commands and file work run in a sandbox of its own that the operating system enforces, and that process stays outside it. If you put your whole team in one shared sandbox, or give an agent your whole computer, the workspace directories separate the agents' work rather than isolate them from each other.

Usage data (agent activity, task counts, timestamps) is stored in our portal database and associated with your account. It is used solely for service management and your dashboard display, retained for the duration of your subscription plus 90 days, and deletable on request under GDPR Article 17.

Warranty and service quality

If you are a consumer, nothing in these terms affects your statutory rights. These include your rights under Swedish law, in particular the Act on Contracts for Digital Content and Digital Services (lag (2022:260)), which implements EU Directive 2019/770, to a service that conforms to the contract and has the quality and functionality you can reasonably expect, and the equivalent rights under the law of the EU country where you live. If you live in the United Kingdom, they include your rights under the Consumer Rights Act 2015 to have services performed with reasonable care and skill and to receive digital content of satisfactory quality.

Subject to the paragraph above, and to the maximum extent permitted by law, we do not warrant that the service will be uninterrupted, error-free or fit for any particular purpose you have not agreed with us in writing, and we give no warranty as to the accuracy of AI-generated output.

AI agents may produce inaccurate, incomplete or inappropriate outputs. You are responsible for reviewing and verifying any work product generated by your agent before relying on it (see "No professional advice").

Limitation of liability

Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; your statutory rights as a consumer that cannot be excluded or limited; or any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, we are not liable for any of the following, whether direct or indirect: loss of profits, revenue, business, goodwill or anticipated savings; business interruption; loss or corruption of data or software (see "Your data, backups and data loss"); the cost of substitute services; or any indirect or consequential loss.

Subject to the first paragraph of this section, our total liability to you for all other claims arising out of or in connection with the service is limited to the fees you paid to us for the three months of service before the event giving rise to the claim; on a yearly plan, that is one quarter of the yearly fee.

If you are a business customer, then to the maximum extent permitted by law we exclude all implied terms, and the exclusions and cap above apply with full force. If you are a consumer, the exclusions in this section apply only to the extent permitted by the mandatory law of your country of residence.

For customers in Germany: our liability for slight negligence is limited to the breach of essential contractual obligations (Kardinalpflichten) and to foreseeable, contract-typical damage. Our liability for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz) remains unlimited.

Indemnification

You agree to indemnify Maxiful AB and its directors, officers, employees and contractors against third-party claims, and any resulting losses, damages and reasonable costs, arising from: (a) your breach of these terms or the Acceptable use section; (b) content, instructions or configurations you provide to your agents; (c) actions your agents take within the permissions and accounts you connected; (d) your violation of law or of a third party's rights; or (e) Artifacts you publish.

This does not apply to the extent the claim results from our own breach of these terms or our negligence. We will notify you promptly of any claim, allow you to assume its defence with counsel of your choice (provided you do not settle it in a way that admits liability on our part or imposes obligations on us without our consent), and reasonably cooperate. If you are a consumer, this section applies only to the extent permitted by the mandatory law of your country of residence.

Your agents act under your direction. You are responsible for the instructions you give them and the tools and accounts you connect to them. We provide the infrastructure; you control what your agents do.

Governing law and disputes

These terms are governed by the laws of Sweden. If you are a consumer, you additionally benefit from any mandatory protections of the law of the country where you live, and nothing in these terms affects them.

Disputes are decided by the courts of Sweden, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance. If you are a consumer, you may instead bring proceedings in the courts of your country of residence, and we will bring proceedings against you only in those courts.

If you are a consumer in Sweden, you may also contact Allmänna reklamationsnämnden (ARN) for dispute resolution. We are not obliged to, and do not currently, participate in dispute-resolution proceedings before a consumer arbitration board within the meaning of the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz, VSBG).

Changes to these terms

We may change these terms for valid reasons, including changes in law or regulation, security requirements, changes to features, or changes to third-party services we depend on. We will notify you by email at least 30 days before the changes take effect, highlighting the changes.

If a change is to your material disadvantage, you may cancel before it takes effect and receive a pro-rata refund of any prepaid, unused period. If you do not cancel and continue using the service after the effective date, the updated terms apply. Changes required by law or needed to address security or safety may take effect sooner.

Force majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, government actions, pandemic, internet infrastructure failures or third-party service outages.

Entire agreement and severability

These terms constitute the entire agreement between you and Maxiful AB regarding the service and supersede any prior agreements or understandings. Our Privacy Policy describes how we process personal data and is provided for transparency; it does not create contractual warranties beyond your statutory rights.

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force and effect.
