Publisher Terms
Effective: 9 October 2026
These terms apply when you publish agents, skills or other add-ons ("Artifacts") in the Maxiful Marketplace. They add to our Terms of Service, which also apply to you. Where the two differ on publishing, these terms apply.
These terms are between Maxiful AB (company number 559606-5135) ("we", "us", "our") and you, the publisher ("you", "your").
Who can publish
You need an active Maxiful subscription to publish an Artifact or an update. While your subscription is not active, you cannot publish.
You must be at least 18 years old and able to enter into a binding contract. If you publish for a company or other organisation, you confirm that you may bind it to these terms, and "you" includes it.
You become a publisher by accepting these terms yourself, in the Maxiful app or on our website. We record which version you accepted and when.
Keep your publisher details true and up to date.
You can publish free Artifacts without a payout account. To sell at a price, you must first complete Stripe's own onboarding. Stripe collects and checks your identity and bank details.
Companies may publish. When paid selling opens, our payout setup will at first open Stripe accounts for individuals only, so a company cannot yet be paid as a company; we will tell you when it can.
Free and paid Artifacts
At present you can publish free Artifacts only. Selling at a price is not open yet.
When paid selling opens, we will tell publishers by email. From then on, the sections on prices, your share, payouts, refunds and taxes apply to your paid Artifacts.
What you allow us to do
You keep ownership of your Artifact. We claim no ownership of it.
You give us a worldwide, non-exclusive licence to host, store, copy, scan, test, review, sign, list and distribute your Artifact and its updates to Maxiful users. For a paid Artifact, this includes adding a mark to each copy that identifies its buyer. You receive no payment for this licence apart from your share of sales.
You also allow us to show your publisher name and your Artifact's name, description, icon and screenshots in the Marketplace and when we promote the Marketplace.
This licence lasts while your Artifact is listed. After that, it continues for copies that users have already installed, and for the records we must keep.
You do not have to publish only with us. You may offer the same Artifact elsewhere.
What buyers get
A buyer gets a licence to use your Artifact under our Terms of Service, while their Maxiful plan is active. A buyer does not become its owner.
You authorise us to grant that licence to buyers on your behalf.
If we remove your Artifact from the Marketplace, or you stop publishing, users keep the copies they have installed, unless we revoke a version for safety or roll a version back at your request (see "Refusal, removal and revocation").
You may ship your Artifact under your own licence, for example an open-source one, as long as it does not narrow the buyer's licence under these terms or contradict them.
Your promises
You promise that:
- you own the Artifact, or have every right you need to publish it and to grant the licences in these terms;
- it contains no malware, and no hidden function that harms, spies on, or takes control of a computer or an account;
- it does not collect, send or sell personal data or credentials, except what its description says and what it needs to work;
- it declares every permission it needs, and its name, description and screenshots are accurate;
- it is not a copy of someone else's work presented as yours;
- it and its listing are lawful and do not infringe anyone's rights, including intellectual property and privacy rights;
- you follow the laws that apply to you, including consumer, data protection, export-control and sanctions laws.
Content rules
Your Artifact must follow these terms, the content policy below, and the Acceptable use section of our Terms of Service. It must not help its user break that section.
Read the Acceptable use section in the Terms of Service
Content policy
Some content is never allowed, and some is allowed only with a clear label and a lawful basis:
- Sexual content involving minors is never allowed, in any form.
- Adult sexual content is not allowed without a clear label and a lawful basis.
- Gambling is not allowed without a clear label and a lawful basis.
- A tool that gives personalised financial, legal or medical advice is not allowed without a clear label and a lawful basis.
- Content that facilitates harm the Acceptable use section of our Terms of Service forbids is not allowed.
Review before listing
Every Artifact and every update is checked before we list it: an automatic check of its manifest and a review by a person. Where our scanners are available, it also gets an automatic safety scan and a check for copies of other published work.
We aim to decide within 48 hours of a submission. This is a target, not a promise.
If we refuse a submission, we tell you the reason and, where we can, how to fix it.
You can have one submission in review at a time. We may limit how many new Artifacts you submit in a day and how soon you can send another update of the same Artifact. When our review queue is full, we ask you to try again later.
We list an approved Artifact in our signed Marketplace index, so the Maxiful app can check that it came from us unchanged. An update reaches users no sooner than 48 hours after you publish it.
Our review checks your Artifact for safety and against our rules. It is not an endorsement or a guarantee of your Artifact, and you remain responsible for it.
Refusal, removal and revocation
We may refuse to list an Artifact, or remove it from the Marketplace, at our discretion, for example if we believe it breaks these terms or the law, or puts users at risk.
We may pause new installs of an Artifact while we look into unusual activity, such as a sudden burst of installs from new accounts.
If a version turns out to be unsafe, we may revoke it. The Maxiful app then no longer offers that version for install or update. Where a safe earlier version exists, we may move users back to it.
You can deprecate a version of your Artifact yourself while it has fewer than 50 installs. New installs then get the previous version, and existing installs keep working. For a version with 50 or more installs, write to [email protected], and we withdraw it through a safe rollback that moves its users back to the previous version. You cannot yet withdraw a whole Artifact yourself: to withdraw one, write to [email protected].
Reports and appeals
Anyone can report an Artifact that breaks these terms to [email protected].
If you disagree with a refusal, a removal, a pause or a revocation, write to [email protected] and tell us why.
You have 30 days from our decision to appeal. We review the appeal afresh and answer within 14 days.
Prices and the seller
You choose the price of a paid Artifact from the fixed price points we offer for its category.
Buyers see the price in euros or US dollars, depending on where they are. Where VAT applies, the checkout shows whether it is included in the price or added to it.
For every paid sale, Maxiful is the seller of record. The buyer pays Maxiful, and Maxiful is responsible for the VAT on the sale.
Your share of each sale
You receive 80% and Maxiful keeps 20% of each sale's price before VAT.
Maxiful first withholds the VAT the buyer paid and pays it to the tax authorities. The split is made on the rest. A sale with no VAT is split on its full price.
For example, on a sale of EUR 14.99 that includes EUR 3.00 of VAT, you receive EUR 9.59 and Maxiful keeps EUR 2.40.
Stripe's payment processing fee comes out of Maxiful's share, not yours.
Payouts
We pay you through Stripe Connect, into the account you set up in Stripe's onboarding, in the currency of that Stripe account. We pay all of the balance you have earned, whatever the currency of the sales that earned it. You can follow your payouts in your Stripe Express dashboard.
We pay your balance automatically every other Tuesday, when it is at least 25 in the currency of your Stripe account (for example EUR 25, USD 25 or GBP 25) and Stripe has enabled payouts on your account.
You can also ask for an instant payout once your balance is at least 1 in the currency of your Stripe account. An instant payout costs 1% of the amount, rounded up to the smallest unit of the currency.
When the money reaches your bank depends on Stripe and your bank. Money you have earned stays in your balance until a payout succeeds. Where Stripe pays a currency only in whole units, such as the Hungarian forint, we pay the largest amount Stripe accepts, and the rest stays in your balance.
We may hold a payout for up to 90 days while we investigate fraud, a chargeback or a breach of these terms. If we do, we tell you.
If a balance cannot be paid out, for example because Stripe has paused payouts on your account, we remind you by email and keep the balance for at least as long as the law requires.
Refunds and chargebacks
As our Terms of Service explain, a buyer gives up the 14-day right of withdrawal once delivery starts. Buyers keep their legal rights if an Artifact is faulty.
We decide refunds to buyers. We may refund a buyer, for example for payment fraud, an Artifact that fails a later safety scan, an install that does not work, or where the law requires it.
If a buyer is refunded for a reason that concerns your Artifact, or a sale is charged back, your share of that sale is reversed. If it is still in your balance, it is removed from your balance.
If we have already paid that share out, we deduct it from your later payouts. If no payout arrives within 90 days, we ask you to repay it.
Maxiful handles chargebacks with the card issuers.
If a chargeback is lost, you lose only your share of that sale. Maxiful pays the dispute fee.
A refund Maxiful makes for its own reasons, such as removing a paid Artifact that broke no rule, is Maxiful's cost and does not reduce your share.
If your chargebacks exceed 8% of your sales over 90 days, we review your account.
Your taxes
Maxiful handles the VAT on Marketplace sales. You are responsible for your own taxes on what we pay you, such as income tax.
Stripe may ask you for tax information, or send you tax forms, where the law requires it.
If you are registered for VAT, we will confirm by email, before paid selling opens, how you invoice Maxiful for your share.
Our fees
Maxiful's fee is 20% of each sale's price before VAT, and 1% of an instant payout. Publishing a free Artifact costs nothing.
We may change our fees. We will tell you by email at least 30 days before a change takes effect, and a change never applies to sales made before it takes effect.
Suspension and ending
You can stop publishing at any time. To withdraw your Artifacts, write to [email protected].
If your Maxiful subscription ends, you cannot publish new Artifacts or updates. Your listed Artifacts stay available, and your balance is still paid out on the usual schedule.
We may suspend or end your publisher account if you break these terms, if you act fraudulently, or if the law requires it.
Except for fraud, a safety risk or a legal duty, we tell you first and give you 14 days to put things right before we suspend your account.
When your publisher account ends, we stop listing your Artifacts. Copies that users have already installed keep working, unless we revoke a version for safety. We pay you the balance you earned from sales that were not refunded or charged back.
The licences for installed copies, the terms on money for sales already made, your promises, your responsibility for claims, the limits of liability and the governing law continue after these terms end.
Limits of liability
Nothing in these terms limits liability that the law does not allow us to limit, including for death or personal injury caused by negligence, or for fraud.
Subject to that, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. We do not promise that the Marketplace will always be available, or that your Artifact will sell.
Our total liability to you under these terms is limited to the greater of the fees Maxiful kept from your sales in the 12 months before the claim and GBP 100.
Your responsibility for claims
You will cover us against claims by others, and the losses and reasonable costs that result, that arise from your Artifact, its listing, or your breach of these terms or the law. This does not apply where the claim results from our own breach or negligence.
We will tell you promptly about such a claim and let you take part in its defence.
Changes to these terms
We may change these terms for valid reasons, such as a change in law, in our fees or in how the Marketplace works.
We will tell you by email at least 30 days before a change takes effect. If you do not agree, you can stop publishing before then. If you keep publishing after that date, the new terms apply to you.
A change never applies to sales made before it takes effect.
Changes required by law, or needed for security, may take effect sooner.
Governing law and contact
These terms are governed by the laws of Sweden, and the courts of Sweden decide disputes about them, with Stockholm District Court (Stockholms tingsrätt) as the court of first instance. If you are a consumer, you keep the mandatory protections of the law where you live and may bring a claim in the courts of your country of residence.
